Terms & Conditions

Effective date: 1 October 2024

These Terms & Conditions ("Terms") govern the sale of products and services by Patron Paper ("Company", "we", "our", "us") to clients and partners ("Customer"). By placing an order or engaging with Patron Paper, the Customer agrees to these Terms.

1. Company Details

Patron Paper is a partnership firm registered in Rajkot, Gujarat, operating from Shed No. 1, Survey No. 194 Paikee (Old SR No. 60), Plot No. 9, Prabhu Mudrika Technocast, Ishwar Industrial Area, B/H Narayan Way Bridge, Kothariya Solvant, Rajkot, Gujarat – 360022. GSTIN: 24ABHFP3391B1ZG.

2. Scope of Services

We trade, manufacture, and process paper products including unbleached papers, printing sheets, specialty grades, and custom-converted formats. Customized specifications are fulfilled based on mutually agreed documentation.

3. Orders & Confirmation

  • Orders must be submitted in writing via email, purchase order, or authorized procurement portal.
  • We reserve the right to accept or reject any order. An order is deemed confirmed upon written acknowledgment from our sales team.
  • Changes or cancellations require written notice and may incur restocking or processing fees depending on production stage.

4. Pricing & Payment

  • Pricing is quoted exclusive of GST and applicable taxes unless specified otherwise.
  • Payment terms are mentioned in the invoice or proposal. Delayed payments attract interest at 1.5% per month or maximum permissible by law.
  • We may require advance payments or bank guarantees for large or customized orders.

5. Delivery & Logistics

  • Dispatch timelines and logistics responsibilities are communicated during order confirmation.
  • Risk and title transfer as per agreed Incoterms or dispatch documentation. Customers must inspect goods on receipt.
  • Any transit damage or quantity discrepancy must be reported within 48 hours of delivery with supporting evidence.

6. Quality & Warranty

  • Products are supplied according to agreed specifications and relevant industry standards.
  • Samples and technical data are indicative; slight variations inherent to paper manufacturing are acceptable within tolerance limits.
  • Our liability for defective goods is limited to replacement, repair, or refund at our discretion.

7. Compliance & Documentation

We provide GST invoices, e-way bills, and compliance documents for each consignment. Customers must ensure accurate GST details and timely filings.

8. Intellectual Property

Logos, designs, and creative deliverables remain the property of Patron Paper unless transferred through written agreement.

9. Confidentiality

Both parties shall protect non-public business, technical, or commercial information shared during engagement and use it solely for order fulfillment.

10. Limitation of Liability

Patron Paper is not liable for indirect, incidental, or consequential damages including loss of profit arising from delayed or defective supply. Total liability is capped at the invoiced value of the specific order.

11. Force Majeure

We are not responsible for delays or non-performance resulting from events beyond reasonable control including natural calamities, regulatory changes, strikes, or transportation disruptions. Timelines will be adjusted accordingly.

12. Termination

Either party may terminate engagements for breach of Terms with written notice. Outstanding invoices remain payable. Customized inventory or work-in-progress may be invoiced proportionally.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Courts at Rajkot, Gujarat shall have exclusive jurisdiction over disputes.

14. Updates

We may revise these Terms periodically. Updated versions will be posted on this page with the effective date.
